Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Boogadee platform. By creating an account or using any part of our service, you agree to be bound by these Terms and our Privacy Policy.

These Terms constitute a legally binding agreement between you and Boogadee Inc. ("Boogadee", "we", "us", or "our"), a company incorporated in British Columbia, Canada. If you do not agree, do not access or use the Platform.

1. About Boogadee

Boogadee is an online marketplace that connects parents and guardians looking for childcare with licensed and registered childcare providers in British Columbia. We provide tools for discovering providers, submitting waitlist applications, and managing the connection process.

Boogadee is a marketplace platform only. We do not operate any childcare facilities, employ childcare workers, or guarantee the availability, quality, or safety of any childcare provider listed on the Platform.

2. Eligibility

You must be at least 19 years of age (the age of majority in British Columbia) to create an account and use the Platform. By agreeing to these Terms, you represent that you meet this requirement.

If you are registering as a childcare provider, you further represent that:

• You hold all licences and certifications required by BC law to operate a childcare facility or service.
• You will maintain those licences in good standing for as long as your listing is active on the Platform.
• You have the legal authority to bind your organisation to these Terms.

3. User Accounts

To access most features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it up to date.
• Keep your password secure and not share your account credentials with others.
• Notify us immediately at support@boogadee.com if you suspect unauthorised access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our reasonable discretion, with notice where practicable.

4. Parent and Guardian Accounts

As a parent or guardian on the Platform, you may:

• Search and browse childcare provider listings.
• Create a family profile to facilitate waitlist applications.
• Submit waitlist applications to providers and track their status.
• Communicate with providers through the Platform's messaging features.

You are responsible for verifying that a provider meets your family's needs before enrolling your child. Boogadee does not screen or endorse individual providers and is not a party to any childcare arrangement you enter into.

5. Provider Accounts

As a childcare provider on the Platform, you may:

• Create and manage a public listing for your facility or service.
• Receive and manage waitlist applications from parents.
• Use Platform tools to communicate with applicants and manage your waitlist.

You agree that:

• All information in your listing (capacity, hours, fees, address, licence status) is accurate and will be kept current.
• You will not charge parents any fees outside of your normal publicly disclosed fee schedule through the Platform.
• You will handle personal information received through the Platform in accordance with BC's PIPA and any applicable privacy legislation.
• You will not discriminate against any applicant on the basis of any ground protected under BC's Human Rights Code, including race, colour, ancestry, place of origin, religion, family status, physical or mental disability, sex, sexual orientation, gender identity, or age.

6. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law.
• Post false, misleading, or fraudulent content, including misrepresenting your qualifications, licences, or capacity as a provider.
• Harass, abuse, or threaten other users.
• Attempt to gain unauthorised access to any part of the Platform or another user's account.
• Scrape, crawl, or systematically extract data from the Platform without our written permission.
• Use the Platform to send unsolicited commercial communications (spam).
• Introduce viruses, malware, or any harmful code into the Platform.
• Circumvent or attempt to circumvent any security feature of the Platform.

Violation of these prohibitions may result in immediate account termination and may expose you to civil or criminal liability.

7. Content and Intellectual Property

Your content

You retain ownership of any content you submit to the Platform (such as your profile information, photos, or messages). By submitting content, you grant Boogadee a non-exclusive, royalty-free, worldwide licence to use, display, and reproduce that content solely to operate and improve the Platform.

You represent that you have the right to submit any content you post and that it does not infringe any third-party intellectual property, privacy, or other rights.

Boogadee's content

All Platform software, design, trademarks, logos, and content created by Boogadee are the exclusive property of Boogadee Inc. and are protected by Canadian copyright and trademark law. You may not copy, reproduce, modify, or distribute any part of our proprietary content without our prior written consent.

8. Fees and Payments

Boogadee is currently free to use for both parents and providers during our early access period. We reserve the right to introduce paid features or subscription plans in the future. We will provide at least 30 days' advance notice of any fees before they apply to existing accounts.

Where fees are introduced, all amounts will be displayed in Canadian dollars (CAD) and are subject to applicable taxes, including BC Provincial Sales Tax (PST) and the federal Goods and Services Tax (GST) where applicable.

9. Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Boogadee disclaims all warranties, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Any warranty that the Platform will be uninterrupted, error-free, or free of viruses.
• Any warranty regarding the accuracy, reliability, or completeness of provider listings.

Boogadee does not verify, endorse, or guarantee any childcare provider. Parents and guardians are responsible for conducting their own due diligence, including verifying a provider's licence status with the BC Ministry of Education and Child Care.

10. Limitation of Liability

To the maximum extent permitted by BC's Business Practices and Consumer Protection Act and applicable law, Boogadee's total liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the greater of: (a) the amount you paid Boogadee in the 12 months preceding the claim, or (b) CAD $100.

In no event shall Boogadee be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or personal injury, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Boogadee Inc. and its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your breach of these Terms; or (c) your violation of any third-party rights.

12. Termination

You may close your account at any time by contacting support@boogadee.com. We may suspend or terminate your access to the Platform at any time, with or without cause, upon reasonable notice. Sections 7, 9, 10, 11, 13, and 14 of these Terms survive termination.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of British Columbia.

14. Dispute Resolution

Before initiating any formal legal proceeding, you agree to first contact us at support@boogadee.com and attempt to resolve the dispute informally. We will try to respond within 15 business days.

If informal resolution fails, either party may pursue claims through the BC Civil Resolution Tribunal (for disputes within its monetary jurisdiction) or the applicable BC courts.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after that date constitutes your acceptance of the updated Terms.

16. General

• Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Boogadee regarding the Platform.
• Severability: If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable; the remaining provisions remain in full force.
• No waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights to an affiliate or successor without restriction.
